MEMORANDUM OF ASSOCIATION
(1)
The name of the Society is:
ASSOCIATION OF UPSC RECRUITED PROGRAMME
OFFICERS OF AIR & DOOR DARSHAN (IN SHORT AUPO).
(Herein after referred to as the Association).
(2)
The registered Office of the Association shall remain in the Union Territory of New Delhi.
(3)
The aims and objects
of the Association are: -
(1)
To promote the legitimate interests of the Programme Officers in matters
concerning their welfare and work.
(ii)
To help infuse and foster a sense of professional pride in the planning,
production and presentation of programmes so as to enable the members of the Association to play an increasingly vital
and significant role in the service of broadcasting in India.
(iii)
To promote the diffusion of knowledge of the art of broadcasting so as to
Keep abreast of the latest Programme techniques in the field of broadcasting.
(iv)
To promote mutual understanding, friendly relations and cooperation among the members of the Association.
(v)
To work for the propagation and representation of the views of the Association on any matters affecting or likely
to affect the members of the Association.
(vi)
To organise cultural activities (which will be restricted to members only) and to promote social contacts amongst
the members of the Association.
(vii)
To promote a heightened level of creativity in the diffusion of useful knowledge, science, literature and fine arts
related programmes through Radio and Television.
(viii)
To organise and promote research activities, conferences, seminars and lectures related to broadcasting.
INCOME AND
PROPERTY
4.
All the incomes, earnings and movable and/or immovable properties of the Association whenever and howsoever derived
shall be applied solely towards the promotion of the aims and objects of the Association as set forth in the memorandum of
the association. No portion of the income and property of the Association shall be paid or transferred or distributed, directly
or indirectly by way of dividends, interest or otherwise to any person(s), who at any time are or have been members(s) of
the association or anyone through them, provided that nothing contained herein shall prevent the payment in good faith, facilities
of any nature, remuneration to any member, office bearer, officer or servant or anyone else, in return for services rendered.
No member of the Association shall have any personal claim on any movable and/or immovable properties of the association to
make any profit whatsoever, by virtue of his membership.
5.
Governing Council The names, addresses, occupations and designations
of the present members of the Governing Council to whom the management of the Association is entrusted as required under Section
2 of the Societies Registration Act, 1860 are as follows:-
RULES AND REGULATIONS OF THE SOCIETY
The name of the society is Association of UPSC Recruited Programme Officers of AIR & Doordarshan {in short AUPO}.
The proposed rules and regulations
of the Association are/shall be as set forth below: -
1.
Preliminary:
(i)
Subject to these, the provisions of the Societies Registration Act XXI of 1860 shall apply without any change.
(ii)
The objects of the Society herein after referred to as the Association are as set out in the Memorandum of the Association
and may be altered, extended or abridged with approval of the General Body in accordance with the provisions contained in
the Societies Registration Act at XXI of 1860 (hereinafter to be called as act)
2.
MEMBERSHIP
(i)
The membership of the Association shall be open to Programme Officers who have been specifically recruited through
the UPSC for Programme posts at different levels in All India Radio and Doordarshan. (Programme Executive to Director General)
and are not members of any other programme staff association having the same objectives as AUPO
(ii) The
membership of the Association will also be available to Programme Officers recruited through any National Level Competition
as per norms devised and prescribed by the Prasar Bharati.
iii)
Any person who belongs to the category mentioned above is eligible to become a member of the Association. Membership can be acquired by applying to the Coordinating Secretary of the Association giving consent
to become a member of the Association. The Co ordination Secretary shall thereupon
enter the name of such person in the Register of the Association and upon such entry, such person shall become a member subject
to approval by the Governing Council of the Association.
iv)
Right of Member: The member shall have the right to part take in all common activities of the Association. He shall have the right to attend all general body meetings and vote in any issue in such body.
(v)
A member shall cease to be a member if: -
(a) The
member informs the Coordinating Secretary of the Association of his/her inability to continue to partake in the activities
of the Association;
(b)
The member acts against the interest of the Association and is held to have done so by a minimum of 2/3rd
of votes of the Governing Council of the Association.
(c)
A member can be re-admitted if the member appeals in writing to the governing council that he/she will not will fully
do any act in future that may go against the interest of the association / and there upon the governing council may re-admit
the member provided at least 2/3 of the members of the governing council agree to such re-admission.
SUBSCRIPTION AND DUES:

The subscription fee shall be Rs. 10/- per month i.e. the annual subscription fee of each member shall be Rs. 120/-.
The Governing Council of the Association can decide to increase the subscription if required.
MANAGEMENT:
4.
The Management of the association shall be vested in a Governing Council.
COMPOSITION,
CONSTITUTION AND TERMS OF THE GOVERNING COUNCIL
5.
The Association shall be controlled by a Governing Council made up of 15 members, consisting of one Convener, One Coordinating
Convener, One Coordinating Secretary, One Executive Secretary, One Treasurer and Ten Executive Conveners.
6.
The Convener, Coordinating Convenor and Coordinating Secretary of the Association shall be elected by the members of
the Association by an Open Election, through nomination by one of the members and seconded by another member and elected by
the majority by raising of hands or in the alternative by Ballot. Once the membership of the Association touches 400, elections
will be held only by Ballot as per the procedure laid down here under.
7.
The Convenor, Coordinating Convenor and Coordinating Secretary shall contest the election as part of a panel jointly.
No member shall contest for the above mentioned posts individually and no member can be part of more than one panel during
a particular election.
8.
The election process for the post of Convenor, Coordinating Convenor and Coordinating Secretary of the Association
shall commence in the month of October (alternate years) and the process should be completed by the 15th of December,
so that the freshly elected body can assume charge by the first of January in the New Year.
9.
The Governing Council will have the power to shift the date of the election (ahead or behind the schedule) by a maximum
period of three months if it is not found feasible to hold the election in the prescribed period due to any unavoidable reason.
10.
The Governing Council or any member/committee nominated by it will be responsible for updating the membership list
for preparation of electoral roll before an election.
11.
The Governing Council shall nominate the returning officer for the conduct of elections, which in turn will initiate
the election process as per laid down procedure.
12.
The Governing Council shall have the power to re designate the posts of the. Convenor, Coordinating Convenor and Coordinating
Secretary as President, Executive Vice President and General Secretary respectively before an electoral process by Ballot,
if it so desires. The new designations shall become operational for all functional purposes of the Association from that instant.
NON ELECTED MEMBERS OF THE GOVERNING COUNCIL
13.
The other members of the Governing Council consisting of Executive Secretary, Treasurer and Executive Convenors shall
be nominated by the Convenor from amongst the members.
14.
In the event of any vacancy occurring jointly in the office of the Convenor Coordinating Convenor and Coordinating
Secretary - the Governing Council shall nominate three members from amongst itself or from amongst the members to carry on
the work of the Association until fresh elections are held within a period of six months.
15.
The Governing Council Members- the Convener, Coordinating Convenor, Coordinating Secretary, Executive Secretary, Treasurer
and Executive Convenors of the Association shall work in the place where the Central Office of the Association is situated.
16.
The tenure of the Governing Council shall be ordinarily for two years or till the next Governing Council is formed.
17.
The meeting of the Governing Council shall be held at least once in three months at the Central Office.
19. The
Governing Council meetings can be summoned by the Coordinating Secretary with the approval of the Convener giving three
days notice to the members to attend the meeting.
20. It will be
open to the Governing Council to decide by majority to hold its meetings at a station other than Central Office.
Powers and Duties of the Governing Council
20.
The Governing Council shall guide the policy, supervise the interest and lay down the general principles of administration
of the association in accordance with the declared aims and objects of the Association.
21. It shall have the
power to sanction any expenditure and pay out of the funds of the Association the costs, charges and expenses, preliminary
and incidental, to the formation, establishment and registration of the Association.
22.
It shall appoint committees for disposal of any business of the Association or for advice in any matter pertaining
to the Association and make, adopt and vary from time to time bye laws for the functioning of and for the purpose of the management
and administration of the affairs of the Association and for furtherance of its objectives.
23.
To pay all expenses incurred in carrying out the objectives of the Association.
24.
It shall prepare appeals, memoranda and notes in pursuance of the aims and objectives of the Association.
25.
It shall take such other measures as are germane to the objectives of the Association.
26.
To delegate from time to time all or any of its powers to any Committee which it may form for the purpose, or to any
other member(s) of the Association as may be found necessary for the efficient administration of the affairs of the Association.
27.
To do all such other acts and things as are incidental to or which the Association may think conducive to the attainment
of the objects of the Association or any of them.
TERMS OF OFFICE
OF CONVENOR/COORDINATING CONVENOR/ COORDINATING SECRETARY/EXECUTIVE SECRETARY/ TREASURER/EXECUTIVE CONVENOR
28.
The terms of office of the Convenor, Coordinating Convenor, Coordinating Secretary, and other members of the Governing
Council shall be for a period of two years.
POWER/DUTIES OF THE CONVENOR
29.
The Convenor shall nominate the non-elected members of the Governing Council namely the Executive Secretary, Treasurer
and the Executive Convenors.
30.
Subject to approval of at least half the members of the Governing Council, any nominated member of the Governing Council
can be substituted by the Convenor.
31.
The Convenor shall be member of the Governing Council and shall preside over the meetings of the Committee. He / She shall have casting vote in case of a tie.
32.
The Convenor shall have the power to convene or cause to be convened through the Co ordinating Secretary, an ordinary
or an extraordinary meeting of the General Body of the members of the association and shall preside over such meeting.
33.
In the event of any vacancy arising in an elected post, the Convenor subject to the approval of two thirds of the Governing
Council can nominate any member of the Association to the vacant post for the remainder of the term.
POWERS AND
DUTIES OF COORDINATING CONVENOR:
34.
The Coordinating Convenor shall, in the absence of Convenor, preside over the meetings of the Governing Council and
shall have the casting vote at such meetings where he/she presides.
35. They shall be responsible to the
Governing Council.
36.
In the event of the resignation of the Convenor or his/her being incapacitated to continue in office or in the event
of vacancy caused otherwise, the Coordinating Convenor shall assume the office of the Convenor for the remainder of the term.
POWERS/DUTIES OF THE CO ORDINATING SECRETARY:
37.
The Secretary shall, in the absence of Convenor/Coordinating Convenor preside over the meetings of the Governing Council
and shall have the casting vote at such meetings of the Governing Council where he/she presides.
38.
He/she shall exercise such control and perform all such duties as may be proper to his/her office and take all such
action as may be consistent with the aims and objects of the Association. He/she will incur all expenditure on behalf of the
Association subject to the ratification of the Governing Council. He/she shall have the power to spend a maximum sum of Rs.Five
thousand per month without the prior approval of the Governing Council. The expenditure so incurred has to be ratified by
the Governing Council in its next meeting.
39.
He/she shall prepare for circulation and consideration a report on the working of the Association before every ordinary
meeting of the General Body.
40.
In the event of the resignation of Convenor and Coordinating Convenor or their being incapacitated to continue in office
or in the event of vacancy caused otherwise, the Secretary shall assume the office of the President for the remainder of the
term.
POWER AND DUTIES
OF THE TREASURER:
41.
He/she shall be responsible to the Governing Council and shall prepare the accounts of the Association. He /She will
be in charge of all the funds of the Association and will also be the custodian of all Cheques.
42.
He/she shall hand over the charge to his/her successor when called upon
to do so by the Governing Council.
43.
The outgoing Treasurer shall complete the books and shall be responsible for the accounts till they are audited.
POWER AND DUTIES
OF EXECUTIVE SECRETARY
He/She shall be responsible to the Governing Council.
44.
He/she shall hand over charge to their successors when called upon to do so by the Governing Council.
45.
Executive Secretary shall have the power to convene for and on behalf of the Convenor or the Coordinating Convenor,
or the Coordinating Secretary as the case may be all meetings of the Governing Council and the General Body. In the absence
of the Coordinating Secretary, the Executive Secretary shall perform the routine duties of the former.
POWERS AND
DUTIES OF STATE REPRESENTATIVES
46.
All Stations/Kendras of AIR & Doordarshan will have their respective units of the Association. The various units in a State or Union Territory will elect their respective state representatives who will
coordinate with the Central Office of the Association. The State Representatives will be ex-officio members for the National
Executive and will participate in the Governing Council meetings as and when they are in Delhi and on such occasions shall
be eligible to vote in the Governing Council.
MEETING OF GENERAL BODY:
47.
The meeting of the General Body of the Association shall be held generally at New Delhi. All members of the Association
who are present or caused to be present at the place of the meeting and on the date of the meeting would be entitled to attend
and participate.
QUORUM
48.
The quorum of a meeting of the Governing Council shall be 1/3 members of the Governing Council.
49.
The quorum necessary at ordinary or extraordinary meeting of the General body shall be 50(fifty) members. If the requisite quorum is not available, the meeting shall stand adjourned and be held the following day
and members attending will constitute the quorum.
FUNDS, BUDGET, ACCOUNTS & AUDIT:
50.
The Subscription and donation from members shall form the general fund of the Association and all moneys belonging
to the said funds shall be deposited in any Nationalised Bank or Banks as may be approved by the Governing Council.
51.
All transactions of the above funds shall be carried out in the name of Governing Council by the Coordinating Secretary
or any other officer authorized by the Governing Council in this behalf and all sums received shall be credited to the above
in the first instance. No receipt shall be directly appropriated towards expenses.
52.
The Convenor/Secretary/Treasurer shall be responsible for proper maintenance of accounts of the association. Any change
in the office bearers authorized to operate the Bank Accounts shall be communicated to the Bank along with the relevant minutes
of the Governing Council meeting by the Coordinating Secretary.
LEGAL PROCEEDINGS:
53.
The Society may sue or be sued in the name of the Convener, Co-ordinating Secretary as per provisions laid down under
section 6 of the Societies Registration Act 1860 as applicable to the Union Territory of Delhi.
54.
No legal proceedings shall be instituted against any office-holder of the Association by any member except with the
sanction of a majority of the members of the General Body. However any member
of the association who shall steal, purloin or embezzle any money or other property of the association, or willfully and maliciously
destroys or injures any property of the association, or who forges any deed, bond, security for money, receipt or other instrument,
whereby the funds of the association may be exposed to loss, shall be subject to prosecution and punishable as strangers as
prescribed in clause 11 of the Societies Registration Act, 1860.
55.
All legal proceedings shall be confined to the jurisdiction of the Delhi High Court where the Central Office of the
Association is situated.
INDEMNITY OF ALL COSTS AND EXPENSES
56.
Every member of the Governing Council and every Officer or Servant of the Association shall be indemnified by the Association
against all causes and, expenses which any such member of the Governing Council, Officer or Servant may incur or become liable
for the reason of any such contract entered into or act or deed legally done or caused or permitted to be done by him/her
as member of the Governing Council, or as Officer or Servant, if done in good faith in pursuance of the decision by a majority
of votes by the General Body.
57.
Sources of Income & Utilization of funds:
The income of the Association shall be through monthly subscription of members
and also through voluntary donations by the members.
58. CHEQUES :
(I)
All cheques for and on behalf of the Governing Council of the Association can be signed by any of two of the following
office bearers:-
a)
Convenor
(b)
Coordinating Convenor
(c)
Coordinating Secretary
(d)
Treasurer
However as a normal practice cheques will be signed by the Coordinating Secretary
and the Treasurer.
(ii)
All cheques for and on behalf of the state fund shall be signed by the state representative.

All instruments and documents required to be sealed with the seal of the Association shall be signed by atleast three members
of the Governing Council and after such signature shall be deemed to be fully executed.
Financial year
59. the Financial year of the Association shall end on the
31st March every year.
AUDIT:
60.
Once every year the accounts of the Association shall be examined and the correctness thereof shall be ascertained
by one or more auditors (The auditor or auditors shall be elected at a meeting of the Governing Council).
ANNUAL REPORT
61.
A copy; of the annual report, audited statement of account, a list of members and office holders of the Association
and an up to date copy of Rules and Regulations of the Association shall be furnished to the Government before the First of
September of each year.
ALTERATION
OF THE OBJECTIVES AND RULES AND REGULATIONS:
62.
The Governing Council shall have the right to alter, extend or abridge the rules within the framework of clause 12
of the Societies Registration Act, 1860. Amendments of the Constitution and the rules and regulations of the association will
have to be ratified by at least two thirds of the members of the Governing Council.
INTERPRETATION
OF RULES AND REGULATIONS
63. The Governing Council shall
be the sole authority for the interpretation of the memorandum of association and the rules and regulations of the association.
The decision of the Governing Council shall be final and binding upon all members unless otherwise advised by a subsequent
meeting of the General Body.
BREAKDOWN OF CONSTITUTION:
64.
In spite of above rules, in the event the office bearers of the Governing Council being unable or failing to undertake
their responsibility as per the prescribed rules of the memorandum of association, any fifteen members with the explicit concurrence
of at least fifty members shall assume interim charge of the association after giving 30 days notice to the existing Governing
Council and shall take necessary steps to ensure fresh elections as per the associations rules within a period of six months.
DISSOLUTION OF ASSOCIATION
65.
The association shall be dissolved if three fifths of the members entitled to vote expresses a wish for such dissolution
by their votes delivered in person or by proxy at a meeting of the General Body convened for this purpose. Upon dissolution as per clause 14 of the Societies Registration Act, 1860 after the satisfaction of all
the associations debts and liabilities, if any property whatsoever remains, the same shall not be paid to or distributed amongst
the members, but shall be given to some other society to be determined by the votes of not less than three fifths of the members
present personally or by proxy at the time of the dissolution or in default thereof by such court having jurisdiction in the
matter.
66. Application
of the Act: All the provisions under all the sections of the Societies Registration Act 1860 as applicable to the Union Territory
of Delhi shall apply to this society.
MISCELLANEOUS:
67.
The Governing Council may co-opt any person as deemed fit for transaction and disposal of any matter considered by
it. Such co-opted member will not be entitled to vote.
68.
The Association shall not further the interest of the members by seeking directly or indirectly the help of members
of the legislature, holding of public meetings, approaching political parties or participation in any demonstration or strike
in connection with service matters.
69.
The Association shall not become a member of or participate in the activities of any federation or confederation of
Association without the prior approval of the general body and without the necessary prior intimation to the Government.
70.
The Association shall not support on response the cause of individual Government servants relating to service matters
unless otherwise decided by a majority of the general body.
71.
